XP removed - can I give it to my daughter?

No, sorry - that *isn't* it really. No one can give you a specific answer
without more details. In general:

1. If XP was installed from a retail copy and is no longer installed on the
original computer, yes. It is completely transferable to another computer.
You will use the Product Key that came with the retail copy of XP to
install.

2. If XP was installed from a generic OEM copy, legally no. OEM versions are
tied by the EULA to the hardware on which they were originally installed.
In the Real World, it will install on other hardware using the Product Key
that came with the CD.

3. If XP was installed (or came preinstalled) from a *branded* OEM copy
(Dell, HP, etc.), then definitely no. In addition to the EULA restrictions,
it is doubtful that a branded copy will run on a differently branded (or
generic) machine anyway and the Product Key on the COA sticker on the
original computer will only work with that computer. Possibly it would work
with an identically-branded OEM computer.

You can give away a copy of XP that you're no longer using as long as
it's a retail copy, not an OEM copy. OEM versions are licensed to the
computer they are originally installed on and cannot be transferred.

You say "That's it really," but I don't know what you are asking. Do
you want to give away the computer, or Windows XP?

If you want to give away the computer, sure you can. If you want to
give away the XP CD, the answer depends on whether it's a retail copy
or an OEM one. If it's retail, yes you can. If it's OEM (for example,
if your computer came with it preinstalled), no you may not. The
license for OEM copies ties them permanently to the first computer
they are installed on and they may never be moved to another.

Moreover, if yours is an OEM copy that was preinstalled, almost
certainly it will not even work on another computer.
 
Sure she can use it. If the product asks for activation, call Micrsoft and
say that the product has been installed on one machine and one machine only.
If you tell them the hard drive died, they will activate the copy and you
should be good to go.

There are exceptions. Some OEM's tie the OS to the motherboard so if you
have a DELL, the OEM copy can only be used on another DELL.

Your mileage may vary.

That's only if the upgraded system is still in use. If it is no longer
in use, the EULA allows the Retail copy to be transferred to any other
PC.
