XP Prof Upgrade install

Help -I'm trying to upgrade my WinME to WinXP Pro and at
the begging of setting up I get the following error
message. [Windows Setup: the file D:\1386\WINN32A.DLL
could not be loaded or is corrupt setup cannot continue.
Can anyone help me with next steps. Does that mean my
product is defective?

Try cleaning the CD with warm water and a soft dry lint-free cloth

Do not touch the data surface (shiny) side of the CD with your fingers
- handle it by the edges and/or the center hole only.
