xp pro will not install

I have windows millennium and cannot get a xp pro upgrade to install. I have tried every troubleshooting option with no luck. After entering disc. runs about 3 or 4 sec. when error report pops up with( the file D:\1386\WINNT32A.DLL Could not Be loaded or is Corrupt. setup cannot continue. final computer freezes.

Possible bad CD Drive or bad CD..
