XP Pro Shuts Self Down without my input. HELP ITS ALIVE!

This problem crops up for me too often

Symptom: Machine enters normal "Shutdown" procedure as if I had clicked Shutdown, yet I did not. Usually this problem occurs in spurts, sometimes it'll shutdown again almost as soon as its rebooted

Analysis performed: I have reviewed all logs, Event Viewer, Changed Security Settings, Hardware APM, set up auditing, debugging, and pulled all hair from head. I can't seem to figure out what's pulling the trigger. Its not overheating. One time when it rebooted I heard a delayed spin-up on one of the drives, but it could have just been coincidence. It is not shutting down like after a new app is installed, it just up and does it, like a user, the OS even issues warnings about shutting down while another user is running programs and doesn't shut-down, but often there are mutliple requests queued up, so that when I clear the one it just starts to try and shut down again

System: Pentium 4 2.6Gh Hyperthreading, DFI LANParty 875P Motherboard, ATI Radeon 9700, 2GB system memory, 4 Drives on Hipoint RAID array, couple other drives and a pioneer DVR104 installed, Thermaltake case with 450w PS and all 10 fans running full blast. Nothing else, pretty clean

Software: XP Pro, McAfee VirusScan Enterprise 7, smattering of smal apps like ACDSee and Foobar.
