An upgrade installation would preserve existing drivers, software and
personal files. If you were expecting those results, that isn't going to
happen with the OEM XP. Also, consider this: The company that sold you the
OEM CD would be your source for any XP technical support issues that might
come up in the future. And, if still under warranty, the laptop company may
restrict their tech support to hardware only and even then they might
require you to restore the system to XP Home before they would assist you.

Thanks Sharon but the warranty has runout and thats why I
wanted to up grade to Professional also I have backed the
system up with the latest version of Nortons Ghost 2003if
I ever need to go back but doubt it. Would I still need to
send the OEM licence back even though it came in a sealed
packet with the offical regiration sticker label because I
don't want ot intsall and register to find out that it has
already been used ?????

That isn't what Sharon meant. The vendor (i.e. the company/bloke you
purchased the OEM licence from) is responsible for all support and, as is
sadly the case with most blokes at computer fairs, they're selling out the
back of a Transit, and disappear as soon as their stock is sold.

FYI - registration is completely voluntary, activation is not. You might
find that the disc is 'BIOS-locked' and can only be used on a specific
system from a specific manufacturer. Technically the vendor was in breach of
the EULA by selling the licence without an item of hardware.

If you don't have a warranty to be concerned about, you can do whatever you
want. You would have your original install media (hopefully) and the Ghost
image to fall back on if you goof anything up. XP ships with basic drivers.
Since this is a laptop, be sure that you have the installation files for
the special hardware drivers or software it may require.

You don't have to send the license back for the original XP Home and it
cannot be used on another system.

If you return the OEM XP Pro, you would need to return all of the paperwork
that came with it, including the number needed to install it.

For your information: There is a small loophole in the sale of OEM copies.
They must be sold with a new system or with the sale of some piece of
computer hardware. Many of the sales at computer shows take advantage of
the "some piece of computer hardware" policy. Also, OEM copies, once
installed, cannot be transferred to a different machine (retail copies, can
be transferred; OEM copies, no.)

If you are worried about the legitimacy of the software you've purchased,
you can call 1-800-RU-LEGIT
