You have two separate problems - networking and sharing internet
access.
Networking the two computers and using Internet Connection Sharing is
one possible way of doing this, but this has some complexities.
Perhaps the greatest disadvantage is that the computer with the dialup
connection (your main computer with Windows XP) will have to be
running in order for the second computer to be able to access the
Internet. This may not always be desirable. An additional
complexity, based on my actual experience with this type of
configuration, is that Internet access from the Windows 98 computer
may be problematic with regard to dialing up the connection and
especially with regard to disconnecting when the call is finished.
Typically when ICS is used with dialup the connection has to be closed
by going to the main computer and doing the disconnect from there.
One way of doing what you want, and one that has worked well for me,
is to use a router that has a serial port for connecting an external
modem. 3Com/U.S. Robotics is one source for this - model 8000A. This
configuration works fairly well, but there are still issues when
disconnecting from the dial-up service.
The simplest solution to the Internet part of your problem might be to
just purchase a second modem for the Windows 98 machine and run a
telephone line extension to that computer.
