XP Installation Error(s)

Thanx in advance to whoever solves this one :)

System Components:
Asus p4p800//P4 2.4c//512 DDR333//420W OKIA PS//WD1200
HDD//GF FX 5200-Ultra 128MB//LG 16XDVD//LG 52X24X52 CDRW//

During numerous attempts to install WinXP Pro 2600, a
number of errors have occured. If the installation doesn't
hang at the blue screen (39 minutes...), it will popup
error windows:

Generic Volume

has not passed Windows Logo testing to verify its
compatibility with Windows XP.

Continuing your installation of this software may
impair or destabilize.....

Do you want to continue installing the software
for this hardware?

If I choose YES, the same error will popup almost
immediately for the same hardware or different hardware
such as: Standard Universal PCI to USB Host
Controller///Standard Dual Channel PCI IDE
Controller///USB Root Hub etc. etc. etc. until each and
every hardware component has been listed.


Sometimes the following error will appear:

The instruction at "0x77f7e2e6" referenced memory
at "0xffffffff".
The memory could not be "read".

Click on OK to terminate the program.
*******************************************

I have tried replacing each and every type of hardware
(HDD,RAM,CDROM,VIDEO,Power supply) and the same errors
appear.

Windows 2k Pro will install flawlessly everytime. I have
installed Win2k Pro, loaded all drivers and Windows
Updates followed by and XP Pro upgrade and still get the
same errors. I have tried different WinXP Pro copies as a
last resort for diagnostic purposes and no luck. Asus had
no suggestions. I was hoping that it may be an easy
motherboard fix so I flashed the BIOS to the newest
version.

Heres hoping that there is an easy fix... Your time is
deeply valued and any help is greatly appreciated.

Is this a clean install or an upgrade? It sounds like there might be third
party partitioning (Partition Magic) or drive software (EZ BIOS, etc)
involved.
