Since tranferring Office97 Pro to my new computer with XP
every time I open a file I get a message telling me the
file is in use by me and do I want to make a copy.
Pressing cancel means I can proceed, but it's very
irritating. How do I stop it?

I don't know the fix to this problem, but I can say that Office 97 works
fine with XP. Ensure you don't have multiple copies of the office app
open. also use explorer to look a the properties of these files for
some clue.

Did you transfer the files via a CD copy? Check your file properties to
see if they are marked "read only" as this is common condition of files
copied to a CD and then to a new computer. If they are, uncheck that box
and try the file.
