Does each PC have a unique computername?
Can you PING one PC from the other with its IP address? with its
computername?
Can you connect using the UNC path?

can't ping it.. what's the unc patch?

can see it from 2000 but not access

UNC path is \\computername\sharename or \\ipaddress\sharename

If you don't get any PING response from either IP or computername tests you
most likely have a firewall or XP's firewall is turned on. Turn them both
off.

If you can see it but can't access it, then its a permission problem. You
need to create duplicate computer accounts and passwords on the on the other
PC.
