Winxp pro not shutting down properly

when i try to shhut doen my winxp pro it shows the shut down screen and says windows is now shutting down and it hangs there.. i will see hard drive activity for about 30 seconds after that happens and then nothing, this also happens if i try to restart the computer.. i usually wait about 2 minutes after it says windows is shutting down then manually power off or hard reset. how can i fix this?
