Windows xp upgrade high CPU usage afterwards...

I have a Dell C610 Latitude that I upgraded to Windows xp sp2
I have no real issues except for one that i cannot figure out. The CPU is is
over 50% all the time. When I use Winternals Process explorer I see nothing
in the process tree that is over 2-3% and most are idle. The only clue is
that "system" the top process in the system tree is ~ 50% and hovers there.
I have stoped some of the procesess below it to see it it made a change and
have not seen any major reduction. Chip is intel pentium 4 @1.2ghz full
patched. Any ideas out there??? Thanks for your help.
 
Turn off auto-updates and see if that is the culprit. I've seen this be a
problem after rebuilds.

Well I did and killed the process and stil remains high. I also killed the
ATI hotkeypoker service also known to cause problems but no dice.

Spyware causes many problems. If not installed download and run Adaware
and / or update Reference file

Task Manager is useful but you could look at another freeware utility
Process Explorer, which provides similar information but adds that
little bit extra towards seeing what the running processes represent.

To ascertain which service is causing the problem select the
image name producing the high CPU usage, right click,
select Properties, Services. Note there are the full names and some
explanation of what each service does.

You will find further information on Services here:

To trace the particular Service involved you need to turn off each
service in turn and then restore it noting what effect it has on CPU
usage. However, you need to take care and watch what other Services are
dependent on that service. When you click on the Dependencies tab allow
it a little time to display the information.
