WINDOWS WONT SHUT DOWN

I have just upgraded my pc to Windows xp pro. Upgrading straight over Windows 98se. Now when i go to shut the pc down it wont shut down by itself. I get the old Phrase
*it is now safe to turn off your pc* then i have to turn it off manually. Could anyone please help me with this please??

There is a prograam that will not close and keeping the pc from shutting down. Got the the task menu and shut things down manually one ata time and see if that will get it to shut down.
