why can't I upgrade to xp?

I'm trying to install windows xp upgrade over windows me
but when the xp tries to install my computer just
starts "looping" through the startup screens.

Did you run the upgrade advisor before running setup? Did you uninstall the
incompatible drivers and programs that it picked up? Was antivirus
protection and boot protection turned off in BIOS (if present) and
antivirus turned off in WinME?
