Vista installation conundrum

Here's the steps I followed to install Vista Ultimate (upgrade) over XP2:

I.Go online to get latest updates...
Downloading installation updates
Cannot connect to the internet

But the underlying XP-SP2 can connect to the internet just fine via IE7...
oh well.

II. Enter product key
(Key entered)
think, think, think...

III. I accept the license terms - check

IV. Which type of installation do you want? [Upgrade or Custom]

"Upgrade" cannot be selected because "Upgrade has been disabled" with the
note:
"The upgrade cannot be started. To upgrade, you must be running Windows XP
with SP2 or Windows Vista."

But, of course, I AM running WinXP-SP2.

Are you booting from the DVD or starting the upgrade from XP? If you enter
an upgrade key and have booted from the DVD the install won't work.

Thanks. No, XP is running as the installation starts. That is, XP is active,
and the DVD installation starts when the disk is inserted.

Is either Vista or XP the 64 bit version? You can't upgrade 32 to 64 or 64
to 32 bit. Other than that I don't know what the problem could be.
