The Upgrade Advisor is stating that the motherboard and video card are not
compatible with Windows XP (not each other). This occurs when older
hardware that will not work properly with XP is in use.
To correct this problem, you will need to replace the motherboard and video
card with hardware that is supported by Windows XP. Check the Hardware
Compatibility List (HCL) at
http://www.microsoft.com/hcl to see if a
particular piece of hardware is supported.
