upgrading pc with xp already on it

I plan on doing a major update of my desktop pc that I
currently run with xp pro.

I'll probably upgrade from Pentium II to IV, get more
memory, and replace my cd drives with read/write drives.

I'd like to keep my harddrive with all my info on it, of
course, but am I going to have a problem with xp thinking
it's been installed on a new computer and stop working?

Is the xp license by motherboard so if I get a new
motherboard, it's really a new pc?

Normally, and assuming either a retail license or a generic
(non-branded) OEM license, unless the new motherboard is virtually
identical to the old one (same chipset, same IDE controllers, same
BIOS version, etc.), you'll need to perform a repair (a.k.a. in-place
upgrade) installation, at the very least:

As always when undertaking such a significant change, back up any
important data before starting.
