Upgrading CPU/RAM require Re-activation?

I have Windows XP Pro (OEM version) running on a PC that
I built a while ago. The motherboard is an ASUS A7v266-
E. I am now considering upgrading the AMD Athlon XP
1900+ to the new AMD Mobile Athlon 2500+. While I am at
it, I want to replace all of the DDR PC2100 memory
modules to the faster PC3500 modules. I won't be
changing any other components.

Will the two changes that I mentioned above trigger a re-
activation of XP Pro? If it does, do you think whether
this can be done online, as opposed to having to make a
phone call to the support people?

I also heard that Microsoft does not allow the OEM
version of XP to be re-activated if the CPU and
Motherboard are changed at the same time. I think they
consider the OS should go with one machine only, and
changing the CPU and motherboard at the same time
constitutes a different machine. Does this restriction
apply to me if I am only changing the CPU and memory, but
not the motherboard?

I hate to buy the new components just to find out
afterward I cannot use the OS. It will be nice to know
before I made the upgrades.

You can upgrade all hardware with xp on one computer,xp requires reactivatio
usually after many reinstalls were made then an unusually large hardware replacemen
done on same computer,motherboard w/ processor etc...With oem microsoft,the onl
limitation is the motherboard,switch to a diffrent board youre recovery disks wont work
Actually useing the call-in nos to microsoft if you ever reach that point is alot easier/faster
they'll read you a nos within a few minutes.
