Upgrading a Win98se machine to XP Pro

I don't get the option to upgrade when running setup.
If I try to do a "New Installation",---don't really want
to do that---I get an invalid Product ID error.

The above done from within Windows 98se with only
Explorer running. Boot-Block Virus protection in BIOS is
off. On a 1GHZ PIII in a ASUS P3V133 MoBo w/768MB RAM.

If I boot from the CD, I get no option to upgrade, just
just a warning about installing two os's on the same
partition---don't want to do that!

Any Ideas? --My win98 version is an OEM
Can this be the problem?

If you boot to xp cd,the question is to add onto an existing os,no,but yo
also have a choice to delete current os and then install xp,yes.The hd get
reformatted then installs xp.If you have a full version of xp (not the upgrade
you can/could also choose repair,from boot to cd menu,press enter for password
at cmd screen type:FORMAT C: /FS:ntfs When its thru type:EXIT Let the compute
restart,then boot to cd,install xp.Repair/Recovery works w/o xp installed
 
My new version of XP is an upgrade.
Can I still reformat and install to a clean disk?

That would wipe-out all my apps and settings, and I'll
have to start from scratch
Is that correct?

I really didn't want to do that, but I suppose if thats
my only option, I guess I'll be better off with a clean
machine.

You can always get a new hard drive !
... use your toher one as the second drive.

Clean install, still have files, settings can be moved with new XP feature.
