Upgrade Win2000 to XP on fat32 & ntfs drives

I am trying to upgrade my O,S. from Win2000 Pro to XP
Pro. HOWEVER, i KEEP GETTING ERROR THAT I cannot update
win 2000 pro to XP Pro. Would it have anything to do with
the fact that drive C is Fat 32, and drives D, E, & F are
NTFS?

Where did you get the copy of XP Pro you're trying to
upgrade to? Is it a retail or OEM copy?
