upgrade to xp from 2k pro

ok everytime i try to upgrade my computer to xp from 2k
pro, i get to the 'installing devices' section, the
screen starts flickering and then finally the blue screen
of death appears for about a half second before the
computer restarts and this begins all over again. any
help would be great!
