Upgrade to Win XP Home Ed from Win ME

Still trying to upgrade my computer from ME to XP Home Ed.
for several days. It keeps stipping/stalling/freezing up
when setup gets halfway through the "Preparing
Installations" phase. After waiting for well over an
hour, I eventually press "Esc" to end setup and get the
message that some internal error may have occurred (it
doesn't say what). I've removed all cards, except the
video card, and tried to install the upgrade with the same
results. I've even removed all cards, except video, and
disabled my Norton Antivirus--still stall at the exact
same position. The upgrade disk was purchased brand new
from WalMart several days ago, so it is very clean with no
damage/scratches. Any suggestions on what to try next--I
really could use any and all help! Thank You Very Much in
advance.
