My ceo's laptop has windowsME on it. The system is bogged
down by neglect and junk software/trackware. It's time to
wipe it clean and install fresh.

However she can't find the startup disc's. I have advised
her to buy XP. My question is, we already have the media
kit, if I buy an upgrade license, will I be able to
install from this media kit, over the corrupt OS?
(Authorization numbers and licensing are all in order)

This strikes me at first as a stupid question, but, fear
of unknown and time deadlines are haunting me. I want to
make the correct decisions from the get go.

I'm with you - a clean installation is the only way to go. As you don't have
a proper ME disc, the only answer is to purchase the full version of XP and
install clean.

Yes you can install clean right off the XP disk.
It is bootable. Then use XP setup to format and partition the PC hard drive as you need.
However.... expect all the old troubles back pretty soon if she won't change her browsing habits ;)

I'm not sure that I made me question clear so let me
restate. Does the "upgrade" license allow me to use the XP
media for the "clean" install?

yes it does. it will check to make sure that you have an
upgradable version of windows first, however. but you
are allowed to do a clean install.

You made yourself crystal, however you also said "However she can't find the
startup discs", by that I assume you meant the reset/recovery/rescue discs.
If you have no qualifying product you don't qualify for an upgrade, you need
the qualifying media as it will ask you to insert it during installation,
but a recovery disc cannot be used in this manner. Do you have retail
licence (and media) of either Windows 2000, Windows ME, Windows 98 or
Windows 95 (clean installation only)?

i THINK, but im not positive, that you can point it to
the install of windows on the HD? i seem to remember
being able to do that at one point, but im not 100%
sure. maybe only if you are loading from windows?
