upgrade from 98 to xp

I keep getting hal.dll missing or corupted file..followed
all of the copy new one from cd and get to a recovery
console and fix bootcfg...nothing works and now I cann't
uninstall and get back to 98 ..no backup of the
system ..??

KB articles 299340 and 330184 and still am haing the same
problem. Sure hope somebody out there can help us.
