Update Won't Install

Hello...I can't get update KB923097 to install...it is an option to
install in shut down but it stalls and when I start the PC again, it is
still there and still won't install...right now, I can't power the PC
down normally...how do I fix this?

Here is the description of the update:

Microsoft has released an update for Microsoft Office 2003. This update
provides the framework for SharePoint Team Services to open and save
files by using the Open XML file format that is new to the 2007
Microsoft Office system.

I did and it said "This update cannot be applied." However, it remains
in my Automatic Updates and prevents me from powering off the PC
normally (crashed when it tries to install at shut down.)

Try this - works for some but not all.
Make sure system is cleaned.
Disable AV and go to the MS site, as given by Detlev, to download direct -
not via WU Home etc.
Download and save to cd/dvd or C:\ (have a folder ready say called Update).
After saving, disconnect from the net.
Keep AV disabled - write/burn to CD/write to file depending on your
software, like Nero.
Install from wherever saved.
If that goes well (with Nero I get auto reboot after going through the
install wizard), REBOOT.
If your AV does not auto-enable after the reboot, don't forget to enable.
Check Add/remove and see if KB923097 is there.
The above is an abbreviated version - so see how you get on.
If you still get the yellow shield telling you you have an update, click on
it to see what it is.
If it is this KB then go to WU Home, and get the scan done - you should no
longer have this on offer.
