Can a legit copy of Win Xp be purchased and using that
key overwrite the bootlegged version or does it have to
be installed over the other O/S.

Are you trying to install Service Pack 1 and getting the
following:

The Product Key Used to Install Windows Is Invalid

You need to purchase and use a legitimate full retail copy of
WinXP Pro to perform a repair (a.k.a. in-place upgrade) installation,
using the new CD and Product Key.

Remember, you should also report whomever sold you the pirated
software to your local law enforcement agency.

Purchase a new "full version" of Windows XP Pro.

You need to perform a repair install using your
new Windows XP "full version" CD and Product Key:

How does advising someone to report that they've been defrauded
equate with "apologizing for Microsoft?" You're not really capable of
independent thought, are you? Who's standing behind you, pulling the
string?
