This may be due to policies. To reset this, try the following:
For XP Professional:
- Click [Start] [Run] type [Gpedit.msc]
- [User Configuration] [Administrative Templates] [Start Menu and Taskbar]
- In the right pane, double-click "Remove and disable the Turn off computer
button" and set it to "Not Configured"
- Set "Remove and prevent access to Shutdown command" to "Not Configured"
- Restart
