transfer of registration

I purchased an XP Professional upgrade some time back, and
am no longer using that Computer. Can I give the XP
upgrade to a family member, and allow him to reregister it
in his own name, as long as it is only being run on one PC?

Not if it's still on the old PC.

Remove the OS from the old system and then yes, you can give the person the
CD, PK/Certificate of Authenticity and they can legally install it on their
own system. This assumes that what you bought was indeed a Retail Upgrade
(or Full) version (NOT an OEM version).
