Tools|Compare and Merge Workbooks grayed out

I am using Excel 2002 on Win XP Pro. The "Compare and Merge Workboks" is
grayed out and does not work. How can I activate it? Do I need both xls
file to be open already?

This option is available only to a "shared" workbook and is used to compare
and merge two different versions of the same workbook.
