taking ownership of system 32 files

I am the only account under vista 64bit and at the same time the
administrator, I am not able to replace and edit some dll files??? i wouldn't
give me full rights although I am the admin??

please feedback appreciated
 
Admin has all rights, except they don't. And
you're running as Admin, except that you're not. :)
