system hangs on install

When I do an install with an xp home upgrade disk and win
98 se oem disk I get the machine to reboot after copying
files before getting

Stop: c000021a [Fatal System Error] Session manager
intialization system process terminated unexpectedly with
a status of 0xc000026c (0x00000000 0x00000000).

Any ideas?
