STOP Error during installation

I have been trying to upgrade a HP8710 from Win98 to XP Pro. During the
Windows install I got the message:
"STOP: c000021a fatal system error.
The Windows logon process systems process terminated unexpectedly with a
status of 0xc0000354 (0x00000000 0x00000000) The system has been shut down".
I've updated the BIOS from HP, fdisk'd and formatted the hard drive from
scratch, and even tried installing Win ME and then upgrading, but with no
results.
Can this dammed HP be upgraded?

Any suggestions gratefully received.
