SP2 Won't install - downloaded newest version

I have to install SP2 on several machines in the office so
I downloaded the install from the microsoft technet site
and manually tested it on one machine. (read: no firewall,
network install, passive, etc. problems)

Unfortunately, it will not install. I run the executable,
the files extract, and the installer starts to load. I
never get passed the first screen because immediately it
says, "Windows Service Pack Setup has encountered a problem
and needs to close. We are sorry for the inconvenience."
Indeed. with the accompanying information:
AppName: update.exe AppVer: 5.5.1005.0 ModName: ntdll.dll
ModVer: 5.1.2600.1217 Offset: 000081bd

I see from previous posts about this, the replies have been
very curt in asking about the version that was downloaded.
The filename I have is: WindowsXP-KB835935-SP2-ENU.exe

please note KB article 835935 is the release notes for SP2

There is no indication that this is a beta, RC or other
unreleased version. As such, I expect it to work.

Apparently my OEM version of XP does not entitle me to free
support either, but since 90% of PCs are sold WITH windows,
it seems to be only a token gesture to allow "free support"
of non-OEM versions.

My system configuration is as follows:
Dual Intel P4 2.6GHz
512MB RAM
20GB free on primary hard disk
Running:
Windows XP SP1
McAfee Enterprise Virus 7.1

Please reply with any suggestions on how to circumvent this
problem.

Your download may be corrupted....download SP2 again.

1. Disable your antivirus software.
2. Perform a Disk Cleanup
3. Perform a Check Disk
4. Perform a "Clean Boot".
5. Install SP2.
6. Defrag your hard drive afterward.

Download it again, it may be a bad download.
