Sp2 install crashes

When im about to upgrade to Sp2 a messege comes up saying: The file
c:\windows\system32\ftp.exe is open or is running from another program. Close
all other programs and press try again. what it wrong please help me.

ftp.exe is a File Transfer Program -- i.e., if it is running, you are in
the middle of downloading something. How are you attempting to do
install sp2?
