At start up or reboot, my WinXP is very slow. generally it
takes up to 2 minutes to boot up. I am running AMD 1.01gb,
768Ram, dual harddrives with an external harddrive via
firewire.

Other than that my system runs fine. That's the only real
complaint I have.

Thanks for the help!

You forgot to mention the software installed on your PC

Check to see what items load with your computer: usually Norton AntiVirus will slow down the boot up and shut down by the time frame you mentioned.

Other than AV software, if there are others such as QuickTime, WinZip etc: you can change their settings so as not to load at startup

You can try to remove services and programs loading at startup. A good site for tweaking services is http://www.blackviper.com. A good tool for tweaking programs at startup is Spybot S&D. When you use this program in advanced mode and navigate to tools/system startup, you get a description of each program you click on, based on Paul Collins Startup List.
