Shutdown Warning Menu

When I turn off my Windows XP computer by
selecting "Start" then "Shut Down", I get a dialog box
that says:

"The instruction at 0x771c1c194 referenced the memory at
0x00000008. The memory could not be read."

Does anyone know how to correct this?
