Go through this shutdown troubleshooter:
http://www.aumha.org/win5/a/shtdwnxp.htm
Geez, how many weeks will it take to investigate all the possible causes of
shutdown problems referred to on that page? Why does this unstable toy
operating system constantly develop shutdown problems for so many users?
Does XP have some kind of problem stopping services once they are running?
I've read pleas for help on this problem from hundreds of Windoze users on
this newsgroup over the past year. One would think that the richest
software company in the world would at least be able to produce an
"operating system" that could shutdown when asked to.
Naturally, you will want to be sure the computer is virus/malware-free:

Sigh. More time wasted trying to wrestle a p.o.s. "operating system" into
working so folks can get some actual work done. MickeyMouse should be so
embarassed that it would leave software development to others capable of
building properly functioning software and get into a new field of
endeavour completely. Maybe it can start building and selling lawn
ornaments? Of course this would impact Elephant Boy's computer support
business as these services would no longer be needed trying to get a toy
operating system to actually work like a real computer operating system is
supposed to.
After you've done your troubleshooting, if you need more help refer to
this link to see what details to include in your next post:
