Shut down error message

I get the following error message when I shut down :
Wincomp.exe application error
0x73dd1946 [ could be 0x73ddl946] ref memory at
0x00325004.

I have tried using "go back" to a time before this
happened, but it reoccurs at each shut down.
It appears to be escalating and I've also started to have
freezes when I try to access Dial Up. What's happening?
