Selling XP Pro - will new owner have problems

I want to sell an early copy of 'XP Pro Upgrade' (pre SP1). If it is
removed from the machine it was activated on and sold with the original
packaging and Product Key are there any steps I should take to 'de-register'
or 'unactivate' it. Also will the new owner be able to install / register /
activate and use it painlessly as if it were new?
 
No and yes. Type eula.txt in Start Run to read the requirements. You have to supply what was upgraded too, and neither you nor he can use what was upgraded (but he may need it to reinstall or install).

There is no problem with those requirements, I am just concerned that an
innocent purchaser will fall foul of something that I (as an innocent seller)
don't know about the activation/registration process and anti piracy issues.

With the retail upgrade version there is no problem with your selling
it, provided that it has been completely removed from your computer.

You might want to consider giving the purchaser a "comfort letter"
stating that you were the original purchaser of this copy and that you
have uninstalled it completely from your computer.

Thanks for the tip Ron,

It is the retail upgrade, and I can supply such a letter, and the original
receipt from a reputable UK dealer.
