rundll32.exe running message

Lately I have been getting a message when trying to shut down or log off. rundll32.exe still ruunning ... end task or cancel. I hit end task an it goes away... Does rundll32.exe need to be running on xp or can I delete it
Also, been getting a blinking screen on occasion. Is this associated with the rundll32.exe problem? or is it something else.

rundll32.exe is a windows program that may be used for another
programs, maybe spyware.

Perform a scan for spyware using updated ad-aware and spybot.
