Rights to add a 2nd DC

I am trying to add a 2nd DC to my test environment and am getting the
following error:

The operation failed because: The Active Directory Installation Wizard was
unable to convert the computer account W2K3DC$ to a domain controller
account. "Access is denied."

I am using a Domain Admin member account. Also I am attempting to add a
2003 DC server AFTER performing the adprep.exe on my 2000 Domain Controller.

Where do I set these proper access rights?
