Replacing Windows 2000 domain controller

I need to replace a Windows 2000 server with Active
Directory with a new Windows 2000 server. Here is the
kicker, it needs to eventually have the same domain, name
and IP address as the existing server. I really just want
it to look like the old server is still there.

I guess I need to move the users, groups and computer
accounts. I can move the folders & recreate the shares
manually.

What is the best way to do this?
