Only if you're lukcy.
I basiscally want to upgrade my Mobo, CPU & Ram as painlessly as possible.

I would suggest doing a clean install, But back up your data first.

If you want to go for it, you can try a repair install to preserve your
settings and such.

You could be exceptionally lucky, and XP will just redetect new devices
for you.

In any case, have a backup before you jump.

Hi,

Make sure you have your Product Key and installation CD handy. Backup all
critical data to removable media. Then shut down and replace the hardware.
Boot the system with the CD and start setup (do not hit 'r' to repair). When
you get to the point to choose the installation location, you should be
given an opportunity to choose to repair an existing installation. This is
what you want to do. Normally, this repair installation should keep the
existing files, programs, and settings intact, but there are those
circumstances where it won't work. This is where you will be glad you backed
up your data first, as you will then need to format and reinstall cleanly.
When completed, go straight to Windows Update and get yourself re-updated as
the repair install will bring your installation back to a point in time
matching the media release.

You will almost certainly have to do at least a repair installation. See
"How to Perform a Windows XP Repair Install" at
http://www.michaelstevenstech.com/XPrepairinstall.htm

That usually works, but be aware that it's possible that that won't be
sufficient, and you'll have to start all over again with a clean
reinstallation and reinstallation of all your software.

Just in case you end up having to do a clean reinstallation, be sure you
have a backup of anything you can't afford to lose before changing any
hardware.

If you have a retail version of XP, life is fairly simple if you add a new
hard drive to the list.
Otherwise, you are likely to have problems.
