Want to reformat external usb drive as FAT32 in XP. Only
offered NTFS. How ?

You'll need to use some 3rd party format utility, or reduce partition sizes.
Within XP, once the partition size exceeds about 40 gig, only NTFS
formatting is available. XP is happy to use a larger disk formatted FAT32
elsewhere; it just can't do it itself.

You could boot to a 98 or ME floppy with the USB storage drivers (and the
format utility!) and format with that.

Thanks for the reply. I'm a little over my head here.
Could I reformat the drive on my computer with 98se,
partition into 2 (40BG) virtual drives, make them each
SAT32 and then take the drive to my xp and convert one of
the partitions to NTFS ? Best of both worlds ? or must
I leave them both FAT32. Or WHAT? Your thoughts ?

Yes. You can do that!

reduce partition sizes.

only NTFS

disk formatted FAT32

drivers (and the

XP's max for creating FAT32 parts is 32GB, not 40. If you boot from
a W98/WME FD with FDISK on it, then you can create and format parts
up to 128GB which XP can then IIRC use.

This problem also occurs if you try to copy a small FAT32 (14GH) to a
60GB. I found this out when I tried to upgrade to a larger disk. Had to
convert to NTFS then copy to larger disk.
