Outlook2003 will not shut down

I am using Outlook 2003 connect to my companies exchange`
server via VPN. Typically I work offline & sync w/ the
server. When I close out of Outlook 2003. The program
shuts itself down, however it remains running in the
system tray. The next time I attempt to open it it will
not open until I have hit Control- Alt - Delete & closed
down Outlook.exe from the processes tab. Anbody have any
ideas on how to fix this problem?
 
Any 3rd party tools installed that sync, use, or otherwise protect outlook
data? (e.g. WinFax, ActiveSync, .etc)
 
I had this problem for a while, and never figured out why. Outlook would
not "let go of" a particular email account and remained resident in the
Systray. I was able to correct it by deleting the offending email account,
and then reinstalling it. Why that worked, I do not know. But, it did.

Yes, I have Microsoft Active Sync installed but only
recently. This problem has occurred since my company
converted their servers to Exchange 2003 & MS Server
2003, about 3 months ago. I just installed the active
sync in the last 30 days.
