I have 2 users here that when they go to close Outlook,
it does not shut down. If you go to task manager, it is
still listed. I have run SpyBot and Ad-Aware, and
installed Office 2003 SP1, to no avail. If they end the
process and restart Outlook, it works fine. I can't find
any documentation anyway in the KB. ANY advice would be
greatly appreciated! :)

Check the shortcut on the task bar...the outlook.exe path
properties and see if it has a "/recycle switch." Remove
the switch and open outlook and try closing again. This
worked on our network.
Good Luck

Outlook keeps a TSR in memory to allow the New mail
Notifiction Pop Ups. To exit completely, Use the EXIT
under the File menu
