Outlook Issue

We are using Outlook 2003 on a Win XP machine. When we
exit Outlook we cannot get back into it again unless we
reboot. It seems like it is still running in the
background even though we are out of the program. If you
go into task manager it is not listed as something runing
but if you go to the Processes tab you will see OUtlook
listed. Has anyone heard of this happening to them?
Here are the details:

Office 2003 basic edition on a Win XP Professional PC

You have another program, like ActiveSync or Norton Antivirus running that
is integrated into Outlook. As long as this other program also runs,
Outlook cannot completely shut down.
