Outlook 2003 standalone, Will not shut down completely.

I have Outlook 2003 installed with Office 2000. I'm sure
if this would cause Oultook to not shut down all the way.
It continues to run in the processes and will continue to
receive messages. Any help would be appreaciated.
 
and 3rd party tools like winfax, activesync, icq, .etc that
syncs/protect/uses outlook data?
 
ActiveSynch is the only app running.
