You have 256MB of ram and it says that you have 256MB of ram. So what's the
problem?

Sounds to me like Windows is using 150mb of your memory. 256mb is not
a lot when it comes to XP.

Sorry, forgot to mention in other reply, my system reports total ram
at 1024mb, and available physical memory at 657mb.

The "missing" RAM is not really missing but is in use by the operating
system and any applications you have running.

Ok, but my question is where is it , since min requirements for install are <Pentium III processor, 233 Mhz (300 Mhz recommended)

64 Mbytes of memory (128 Mbytes recommended)

1.5 Gbytes of free disk space

A monitor with SVGA resolution (800x600)

CD-ROM or DVD-ROM drive > 64 is allot less than 256 whers the other 150

OK, but the same programs, actually a couple less than when win 98 was installed used less than 50 mb, curious

XP offers a lot more than 98 and thus uses more resources to get the
job done. Windows 98 also uses more RAM than it's predecessors Win95,
and Win 3.1 but it also offers more than they did.

MS stated IN 2001 (just after the release of XP) that the minimum RAM is
128MB. If you look deeper, you'll find that even though they didn't
specifically state it there, that requirement was just for running the
BARE-BONES XP OS.
MS also states elsewhere that you require 'x' amount of additional RAM for
each Office application running - note I said 'x' amt., as those figures
were released 2001 prior to the later versions of Office (2002, 2003), .NET
Framework, SP1 etc. and doesn't take into account any additional software
the end-user will install.
I say again, 256 is the minimum to have XP operate efficiently.

Your car could run on a pint gas, but you're not gonna be happy with
the performance. Minimum requirements are usually just that... the
minimum to keep you from pulling your hair out waiting for something
to happen.
