Please provide the *complete* text of the error message including the
correct STOP code (0x00008E is not a valid code but 0x0000008E is) and
all four of the parameters associated with it.

A STOP 0x0000008E is KERNEL_MODE_EXCEPTION_NOT_HANDLED which is most
often associated with hardware compatibility issues.

You need to ensure that your hardware including the motherboard, video
card, disk drives and all peripherals are compatible with Windows XP.

Download and run the Windows XP Upgrade Advisor from
http://www.microsoft.com/windowsxp/pro/howtobuy/upgrading/advisor.asp
and run it to check out the hardware in your machine.

Try uninstalling and disconnecting any and all non-essential hardware
before you start the upgrade process. That would include all
printers, scanners, modems, and network cards. Once the upgrade is
finished then you can add back/ reconnect these items one at a time
after you have confirmed that they are compatible with Windows XP and
that you have the necessary drivers on hand.

WindowsMe dates from 2000 or early 2001 at latest so if your hardware
was new at that time then it is somewhat outdated already and may be
somewhat less than adequate for Windows XP.

Good luck
