Installing XP problems

When I grun the XP upgrade CD and try to format the hard drive I'm running into problems

The setup program will not allow me to delete the partitions so that I can get a clean start.
Do I need to boot the computer off of a bootdisk 1st and then format the c: drive
Last question is - will my XP upgrade CD work on it's own with a fresh hard drive or does it need the old ME disk to verify something?

Set your pc to boot from the cdrom to do a clean install. You will lose all
data on the hard drive. You will need a Win98 or ME cd to verify the
upgrade.
